General Terms, Conditions, and Clauses Governing Installation & Production

 

These General Terms & Conditions (“Terms”) shall form an integral and binding part of the quotation, purchase order, work order, supply contract, and/or installation agreement entered into with Monvin India Private Limited (“MIPL”, “Company”). Acceptance of delivery, installation, or issuance of a purchase order shall constitute unconditional acceptance of these Terms.

1. Site Storage & Material Safety

  1. The Client shall provide adequate, safe, dry, covered, and secured space at site for unloading and storage of finished goods.
  2. MIPL shall not be responsible or liable for any loss, damage, deterioration, pilferage, or theft of materials once delivered and stored at the Client’s premises.

2. Installation Procedure

2.1 Installation Agency

Door installation and related services shall be carried out by DMC Group, a sister concern of MIPL, unless otherwise agreed in writing.

2.2 Installation Methodology

  1. Doors shall be installed using sub-frame technology, PU foam, screws, and fasteners, maintaining an internal flush detail, unless otherwise agreed in writing.
  2. Installation charges may vary from door to door based on site conditions and scope.
  3. Gaps between walls and architraves shall be sealed using silicone sealant, with cover mouldings applied on both sides.
  4. Any additional wall claddings, architraves, or deviations shall attract additional costs payable by the Client.

3. Protective Measures

  1. Doors are supplied with cardboard packaging and corner protection.
  2. Protective films must be removed within 90 days from the packing date. Moisture build-up beyond this period may damage coatings.
  3. Any request for extended protection shall be chargeable.
  4. Post-installation protection is entirely under the Client’s scope. MIPL bears no responsibility after installation completion.

4. Installation Responsibility & Rework

  1. Site work shall be executed as per Client instructions; post-installation care lies solely with the Client.
  2. Any negligence, damage, or site-caused rework shall be chargeable, and advance payment is mandatory before commencement of rework.

5. Special Considerations

  1. Stone, marble, granite jambs, sills, and finishes are installed at Client risk.
  2. While MIPL shall take reasonable precautions, it shall not be liable for cracks, chips, or damage during drilling or installation.

6. Installation Phases & Handover

  1. Where installation is included, MIPL shall install, clean, and hand over doors system-wise.
  2. Post-handover protection and cleaning are the Client’s responsibility.
  3. Installation shall be deemed complete upon Client sign-off, after which keys shall be handed over.

7. Utilities & Labour Support (Client Scope)

  1. Free electricity connection at site.
  2. Free water for labour.
  3. Shelter/accommodation for labour.

8. Door Opening Directions

Door swing/opening direction shall strictly follow approved production drawings, viewed from the inside.

9. Hardware & Accessories

  1. Hardware inclusions/exclusions shall strictly be as per the approved quotation.
  2. Any additional requirements shall be mutually agreed and billed separately.
  3. In case of non-availability of specified brands/models, MIPL may substitute with equivalent products at its discretion.

10. Storage & Stacking Charges

  1. Finished products may be stored at the factory for up to 7 days free of charge.
  2. Storage beyond 7 days shall attract warehouse charges of ₹15 per sq. ft. per day.
  3. Dispatch shall be done only when the site is ready, unless otherwise agreed.
  4. Site storage must be flat, dry, pest-free; any defects due to improper storage are Client liability.
  5. Post-delivery shifting or relocation shall be chargeable.
  6. Unauthorized movement results in Client responsibility for damages.

11. Inspection & Material Handling

  1. Materials must be inspected within 24 hours of delivery.
  2. Any discrepancies or damages must be reported in writing within 24 hours; failure shall be deemed acceptance.\

12. Covering Systems

  1. Adhesive tape on doors is not recommended; masking tape may be used on walls only.
  2. Any packing or covering must be removed within 30 days from supply.
  3. MIPL responsibility is limited to manufacturing defects only, as per warranty.

13. Site Readiness & Measurements

  1. Client must provide approved floor plans for project planning.
  2. Measurements shall be taken only after plastering and flooring completion.
  3. Bull-mark measurements are not accurate and shall be taken only with Client approval.
  4. Any additional wall cladding or flooring changes must be informed prior.
  5. Post-sign-off site variations are Client responsibility.

14. Factory Production & Tolerances

  1. Size allowances shall apply only if documented.
  2. Door thickness tolerance: ±1.5 mm
  3. Final size cutting tolerance: ±5 mm
  4. Production commences only after complete confirmation of details; advance payment alone does not confirm order.

15. Designs & Specifications

  1. Custom designs may require extended timelines or may be declined if unfeasible.
  2. Recon veneers are subsidized and subject to factory selection.
  3. Supersize doors are subject to factory confirmation.
  4. Double door overlaps follow standard drawings unless approved otherwise.
  5. Glass is excluded unless specifically quoted.

16. Veneers, Laminates & Finishes

  1. Veneer variation of 10–15% is acceptable due to natural material.
  2. Group matching is not standard and requires prior approval.
  3. Laminate thickness: 0.3–0.4 mm standard.
  4. Colour variation between frame, shutter, and architrave is not permitted.

17. Polish & Coatings

  1. Standard finish is PU lacquer.
  2. Custom colours require physical sample approval.
  3. UV-cured and air-spray finishes may vary slightly.
  4. Darkening of veneers is possible; lightening is not feasible.

18. Hardware & Locks

  1. Digital locks are factory-cut to preserve finish.
  2. Hardware samples must reach factory within 10 days of order.
  3. If hardware details are delayed, factory may proceed without hardware slotting.

19. Production & Delivery Timeline

  1. Estimated timeline: 45–60 days from measurement confirmation and advance payment.
  2. Prices are subject to raw material and exchange rate fluctuations until PO confirmation.

20. Governing Law & Jurisdiction

These Terms shall be governed by the laws of India, with exclusive jurisdiction of courts at [City to be specified].

Warranty Policy

This Limited Warranty Policy (“Warranty”) is issued by Monvin India Pvt. Ltd., having its registered office in India (“MIPL”, “Company”, “We”, “Us”), in favour of the original purchaser (“Client”, “Purchaser”). This Warranty forms an integral part of the supply and/or installation contract and shall be deemed accepted upon placement of purchase order, receipt of goods, or commencement of installation, whichever occurs first.

1. Warranty Term

1.1 Product Warranty

MIPL warrants that its Flush Doors intended for complete interior use only shall be free from manufacturing and workmanship defects for a period of:

  • Five (5) Years from the Warranty Commencement Date.

1.2 Installation Warranty

Where installation is expressly included within MIPL’s contractual scope:

  • Six (6) months of free service from the date of installation completion, limited strictly to installation-related workmanship issues.

1.3 Hardware Warranty

MIPL provides only a mechanical warranty on the following hardware components supplied by MIPL:

  • Gaskets and Seals: Three (3) Years

Client-supplied hardware is expressly excluded from any warranty, service, or liability of MIPL.

2. Warranty Commencement Date

If delivery or installation is delayed due to Client-related reasons, site readiness issues, force majeure, or any circumstances beyond MIPL’s control, the Warranty Commencement Date shall be deemed as the earlier of:

  • The last date of the mutually agreed delivery/sign-off period (where no invoice is raised), or
  • The invoice date of the product.

3. Scope of Warranty Coverage

This Warranty is strictly limited to manufacturing and workmanship defects arising under normal use and proper maintenance conditions. At its sole discretion, MIPL shall repair, replace, or rectify the defective product or component. No refund, replacement with upgraded products, or monetary compensation shall be applicable unless expressly agreed in writing by MIPL.

4. Exclusions and Limitations

This Warranty does not cover, without limitation:

  1. Glass breakage, chipping, scratches, or impact damage.
  2. Normal wear and tear, ageing, or deterioration due to usage.
  3. Minor or natural variations in colour, shade, texture, gloss level, grain, or appearance.
  4. Fading, warping, swelling, cracking, or deformation caused by:
    • Sunlight exposure
    • Moisture, water seepage, rain, humidity
    • Improper ventilation or environmental conditions
  5. Variations arising from field finishing, repainting, polishing, or post-installation modifications.
  6. Damage caused by:
    • Misuse, negligence, abuse, or forced operation
    • Improper handling, storage, or installation by third parties
    • Unauthorized repairs or alterations
  7. Hardware damage due to forced, abusive, or improper operation.
  8. Any indirect, incidental, or consequential damages including but not limited to loss of use, delay costs, or business interruption.

5. Coating & Finish Disclaimer

Indoor lacquer coatings have an estimated lifespan of five (5) to seven (7) years under normal interior conditions.

  • Any recoating, refinishing, or restoration required beyond this period shall be chargeable.
  • Horizontal lacquered surfaces are subject to accelerated wear and fading and may require more frequent maintenance depending on usage, site conditions, and environmental exposure.

6. Warranty Conditions

This Warranty shall be valid only if all the following conditions are satisfied:

  1. Full and timely payment of all invoices and dues related to the order.
  2. Products are used strictly for their intended interior application.
  3. Proper and periodic maintenance is carried out by the Client.
  4. Hardware components may require periodic alignment, tightening, or adjustment, which shall be treated as routine maintenance.
  5. No liability shall arise for damage caused due to non-compliance with usage or maintenance guidelines.

7. Warranty Claim Procedure

  1. All warranty claims must be submitted in writing to MIPL within the warranty period.
  2. The Client shall provide:
    • Proof of purchase/invoice
    • Photographic evidence
    • Access to the site for inspection
  3. MIPL reserves the right to inspect, test, or verify the claimed defect before approving any warranty action.
  4. Any rectification carried out under warranty shall not extend or renew the original warranty period.

8. Limitation of Liability

To the maximum extent permitted by law:

  • MIPL’s liability under this Warranty shall be limited strictly to the original invoiced value of the defective product.
  • MIPL shall not be liable for indirect, incidental, special, or consequential damages, including loss of profit or delay costs.

9. Non-Transferability

This Warranty is valid only for the original purchaser of the product and the original owner of the building where the product is installed and shall not be transferable.

10. Governing Law & Jurisdiction

This Warranty shall be governed by and construed in accordance with the laws of India. The courts of [City / State – to be specified] shall have exclusive jurisdiction.

11. Entire Agreement

This Warranty constitutes the entire warranty agreement between MIPL and the Client and supersedes all prior oral or written representations unless expressly stated in the contract.

NON-TRANSFERABILITY & WARRANTY EXCLUSIONS

This Warranty is non-transferable and shall apply only to the original purchaser and the original installation location.

Exclusions

This Warranty expressly excludes any defect, damage, failure, or deterioration of the product, hardware, accessories, finish, polish, coating, or any related component arising from or attributable to, including but not limited to:

  1. Exposure to acids, chemicals, fumes, solvents, or corrosive substances;
  2. Improper, abnormal, or unintended use of the product;
  3. Improper installation, including installation carried out under unsuitable or improper site conditions;
  4. Improper or inadequate maintenance, neglect, or failure to perform routine upkeep;
  5. Water-related damage, including moisture ingress, leakage, dampness, flooding, or prolonged humidity exposure;
  6. Damage caused due to cleaning agents containing acids, alkalis, or abrasive chemicals;
  7. Impact damage, mishandling, or physical abuse;
  8. Failure to strictly comply with installation, care, operation, or maintenance instructions issued by Monvin India Pvt. Ltd.;
  9. Termite or pest attacks arising due to environmental or natural site conditions.

Limited Remedy

This Warranty does not confer any specific statutory or legal rights beyond those expressly stated herein. In the event of a valid warranty claim, Monvin India Pvt. Ltd., at its sole and absolute discretion, shall be entitled to:

  • Repair the defective product; or
  • Replace the defective product with a product of equivalent specification; or
  • Refund the original purchase price of the defective product; or
  • Reject the warranty claim and adjust the value of the claim against any outstanding or pending payments under the same transaction.

Under no circumstances shall Monvin India Pvt. Ltd. be liable for any indirect, incidental, consequential, or special damages, including loss of use, delay, or loss of business.
